云南彝良：推动煤矿整合不可操作，企业损失谁来买单?

放下矜持

　　因当地政府推动煤矿资源整合不具备可操作性导致整合失败，当时用于购买整合煤炭资源的款项却始终无法退回，家住云南省昭通市盐津县的肖义平为此已苦苦奔波了十余年。

　　

　　肖义平是彝良县鑫瑞矿业有限责任公司(前身是邱家湾煤矿)的法定代表人，他本人愿为本文反映内容真实性承担全部法律责任

　　2007年6月24日，为整顿和规范煤炭资源开发秩序，昭通市彝良县政府印发《彝良县煤炭资源整合方案的通知》，要求邱家湾煤矿和富源2对煤矿整合为1对，整合后设计生产能力提升到15万吨\年。2007年7月31日，在彝良县政府的强迫指令下，邱家湾煤矿与富源煤矿达成《煤炭资源整合协议》，由彝良县邱家湾煤矿支付 160 万元给彝良县煤炭工业局，购买富源煤矿的资源。2008年肖义平被彝良县政府招商而来，全面接手邱家湾煤矿，在县煤炭资源整合工作组、县煤炭工业局等部门承诺将富源煤炭资源全部交给邱家湾煤矿并帮助完善办理整合手续的情况下，肖义平从个人账户将160万元支付给彝良县煤炭工业局。2008 年7月23日，云南省煤炭资源整合工作领导小组批复通过《彝良县煤炭资源整合方案》再一次明确“以彝良县邱家湾煤矿为主体，整合关闭的彝良县富源煤矿的资源”。

　　邱家湾煤矿得到批复后，按要求制作相关资料，于 2008年12月向原云南省国土资源厅提交了划定矿区范围申请，经审查后被整合体大于整合体二分之一，暂不审批。此后邱家湾煤矿多次收集制作材料后向云南省国土资源厅申请资源整合后的划定矿区办理，最终省国土资源厅以“申报矿区与原有范围有变化，并涉及到国有企业的探矿权”为由未予批准。邱家湾煤矿一直不断恳请各级政府部门协调处理国土资源厅提出的问题，但矿区重叠一事始终未能得到解决。

　　2015 年，因购买富源煤矿的资源办不了手续也移交不了，邱家湾煤矿无法转型升级，走投无路之下只能被迫申请关闭。肖义平去县政府反映，县政府表示要相信政府、富源煤矿问题会在稍后进行解决，并指令彝良县煤工局出具了一个证明，证明关闭彝良县邱家湾煤矿不包括彝良县富源煤矿的资源，证明彝良县富源煤矿的资源至今仍属县政府所有。

　　

　　肖义平认为，邱家湾煤矿最终未成功整合关闭后的富源煤矿资源，主要原因是彝良县政府发出的整合行政指令不具有可操作性乱作为(两煤矿不相邻，中间有省煤勘院，所谓“国有企业的探矿权”由此而来)，彝良县政府未审查整合区域是否有第三人矿权以及整合是否具有可操作性的情形下强制整合，导致邱家湾煤矿签订整合协议后客观上无法办理审批手续，导致资源整合不生效，彝良县政府应承担赔偿责任。

　　

　　肖义平多次找县政府、煤工局、信访局反映此事，要求返还购买富源煤矿资源的160万元，但问题一直未得到有效处理。2019 年11月，彝良县鑫瑞矿业有限责任公司(2013年邱家湾煤矿名字更变为鑫瑞公司)向昭通市中级人民法院起诉，经过一审二审再审，历经四年，2022年11月9日，云南省高级人民法院作出(2022)云行申535号行政裁定以“不属于人民法院行政诉讼的受案范围”为由，驳回了鑫瑞公司的再审申请。肖义平认为，一审二审与省高院再审结果是互相矛盾的，因为省高院再审提出的“不属于人民法院行政诉讼的受案范围”在一审二审法院的行政裁定书上面从未有过相关说明和体现，耗时四年之久，才以不属于法院受案范围驳回，浪费了当事人极大的人力、物力和时间成本。

　　自2008年肖义平接手邱家湾煤矿开始到2015年煤矿关闭，因县政府强制肖义平购买富源煤矿的资源，邱家湾煤矿一天也没有开采过，什么手续也办不了。在长达 8 年的时间里，肖义平要请人看厂、养工程师，矿长、副矿长等人，还要安排专人去昆明办手续多达200余次，花了1000多万元，造成工人工资无着落，股东负债累累，血本无归。

　　近年来，国内经济下滑，企业和创业者们更是举步维艰。中央曾多次召开民营企业座谈会，强调民营企业和民营企业家是自己人，要促进民营经济发展壮大，支持中小微企业发展。肖义平恳求彝良县政府能够贯彻上级精神，退还购买煤矿资源的160 万元资金及 160 万元同期银行贷款利息，维护企业正当的合法权益。
